Is Legal Fee Financing Ethical?

Yes. For years, some lawyers held off on payment options because they weren’t sure the ethics rules allowed it. The ABA answered the question in November 2018 with Formal Opinion 484, which says lawyers may refer clients to companies that finance legal fees. The opinion ties that permission to Model Rules 1.2(c), 1.4(b), 1.5(a) and (b), 1.6, 1.7(a)(2), and 1.9(a), and adds Rule 1.8(a) when the lawyer has an ownership or other financial interest in the finance company.

  • Reasonable fees (Rule 1.5): your fee has to be reasonable. If you raise it to cover what you pay a lender, the increase has to be reasonable and disclosed to the client.
  • Informed decisions (Rule 1.4(b)): explain the arrangement clearly enough that the client can decide whether financing makes sense for them.
  • Confidentiality (Rule 1.6): share no case information with a lender without the client’s informed consent.
  • The client comes first (Rule 1.7(a)(2)): don’t recommend financing just because it guarantees your fee.
  • Financial ties to a lender (Rule 1.8(a)): if you own a stake in the financing company, the opinion requires disclosure, fair terms, a chance to consult independent counsel, and the client’s informed written consent.

In practice, that means putting the scope, fee, and refund terms in your engagement letter, explaining that the loan is between the client and the lender, and letting the client compare offers on their own time. Don’t promise approval or quote a rate the lender hasn’t offered, don’t accept referral fees from lenders, and don’t let financing shape your legal advice.
